Any quotation or proposal provided by Devluk Technologies will specify, where applicable:

  • Scope of work
  • Deliverables
  • Estimated project timeline
  • Fees and payment schedule
  • Number of revisions included
  • Third-party costs
  • Maintenance or support arrangements
  • Any project-specific terms

Unless otherwise stated in writing, quotations may be subject to change if the project requirements change or additional work is requested.

A quotation does not constitute acceptance of an order until confirmed by both parties.

5. Project Scope and Changes

We will provide the services according to the agreed project scope.

Requests that fall outside the agreed scope may be treated as additional work and may incur additional charges.

Examples of additional work may include:

  • New website pages or features
  • Additional design concepts
  • Additional revision rounds
  • Changes to previously approved functionality
  • New integrations
  • Additional content creation
  • Changes resulting from altered business requirements

Where reasonably possible, we will inform you of additional costs before carrying out the additional work.

6. Client Responsibilities

You agree to provide the information, content, materials, access credentials, approvals, and feedback reasonably required for us to complete the project.

You are responsible for ensuring that materials supplied by you, including text, images, videos, logos, trademarks, product information, and other content:

  • Are accurate;
  • Do not infringe third-party intellectual property rights;
  • Are lawful to use;
  • Comply with applicable laws and regulations.

Delays caused by failure to provide required information, approvals, content, or access may affect the project timeline.

7. Payments

Payment terms will be specified in the relevant proposal, quotation, invoice, or service agreement.

Unless otherwise agreed in writing:

  • Deposits or upfront payments may be required before work begins.
  • Invoices must be paid within the agreed payment period.
  • We reserve the right to suspend work where payments are overdue.
  • Additional work may require payment before commencement.

Payments made for completed work, third-party services, licences, subscriptions, hosting, domains, or other non-refundable costs may not be refundable except where required by applicable law.

8. Late Payments

Where an invoice remains unpaid after the agreed due date, we may suspend services or project work until the outstanding balance is paid.

Where applicable, we reserve the right to charge interest or recover reasonable costs associated with late payment in accordance with applicable law.

Suspension of services due to non-payment may affect project deadlines.

9. Website Content and Approval

The Client is responsible for reviewing and approving website content, functionality, product information, pricing, legal notices, and other materials before publication.

Once a website or deliverable has been approved by the Client, subsequent changes may be treated as additional work.

The Client remains responsible for ensuring that published information is accurate and legally compliant.

10. Project Timelines

We will make reasonable efforts to meet agreed project deadlines.

However, timelines may be affected by:

  • Delayed client feedback;
  • Delayed provision of content or information;
  • Changes to project requirements;
  • Third-party services;
  • Technical issues outside our reasonable control;
  • Hosting or domain-related issues;
  • Force majeure events.

Unless expressly agreed otherwise in writing, project deadlines are estimates rather than guaranteed completion dates.

11. Revisions

The number of revisions included within a project will be specified in the relevant proposal or agreement.

Revision requests should be consolidated where reasonably possible.

Requests that exceed the agreed revision allowance or materially change the original requirements may incur additional charges.

12. Third-Party Services

Websites and applications may rely on third-party services, platforms, APIs, plugins, themes, payment processors, hosting providers, analytics tools, or software.

We are not responsible for interruptions, price changes, policy changes, security incidents, discontinuation, compatibility issues, or other failures caused by third-party services outside our reasonable control.

Any third-party licence or subscription fees will generally be the Client's responsibility unless expressly included in the agreed project fee.

13. Domains and Hosting

Where devLuk Technologies assists with domain registration or hosting, ownership and renewal arrangements will be specified in the relevant agreement.

The Client is responsible for ensuring that domain names and hosting services are renewed when required unless devLuk Technologies has expressly agreed to manage renewals on the Client's behalf.

We are not responsible for loss caused by domain expiration, hosting cancellation, inaccurate registration information, or failure to provide required renewal payments.

14. Intellectual Property

Unless otherwise agreed in writing, devLuk Technologies retains ownership of its pre-existing intellectual property, development frameworks, reusable code, tools, processes, templates, libraries, methodologies, and know-how.

Upon receipt of full payment for the relevant project, ownership of specifically created final deliverables will be transferred or licensed to the Client as specified in the applicable agreement.

Third-party software, plugins, fonts, images, themes, libraries, and other materials remain subject to their respective licences and terms.

15. Portfolio and Marketing Rights

Unless the Client requests otherwise in writing before project completion, devLuk Technologies may display completed work, screenshots, project descriptions, or the Client's business name and logo in its portfolio, website, social media, presentations, or marketing materials.

Confidential information will not knowingly be disclosed for marketing purposes.

16. Confidentiality

Each party agrees to keep confidential information received from the other party confidential and to use such information only for legitimate purposes connected with the relevant business relationship.

This obligation does not apply to information that:

  • Is publicly available;
  • Was already lawfully known;
  • Is independently developed;
  • Is required to be disclosed by law or a competent authority.

17. Data Protection

Where applicable, devLuk Technologies will process personal data in accordance with applicable data protection legislation.

Depending on the nature of the services, separate privacy notices, data processing agreements, or other documentation may apply.

The Client is responsible for ensuring that its website, applications, marketing activities, cookies, forms, databases, and other systems comply with applicable privacy and data protection requirements.

18. Website Security

We will take reasonable measures appropriate to the agreed services to develop and maintain secure systems.

However, no website, software, hosting environment, or online service can be guaranteed to be completely secure.

The Client is responsible for maintaining secure passwords, user access, hosting accounts, third-party accounts, and other credentials under its control.

19. Backups

Where backups are not expressly included in the agreed services, the Client remains responsible for maintaining appropriate backups of its website, databases, content, and other digital assets.

Where devLuk Technologies provides backup services, the scope and retention period will depend on the applicable service agreement.

20. Warranties

We will use reasonable skill and care in providing our services.

Unless expressly stated otherwise, we do not guarantee that:

  • A website will generate a specific level of sales or revenue;
  • A website will achieve a particular search engine ranking;
  • A website will receive a specific number of visitors or leads;
  • Third-party services will remain available;
  • A particular business or marketing result will be achieved.

21. Limitation of Liability

To the maximum extent permitted by applicable law, devLuk Technologies will not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.

This may include loss of profits, revenue, business opportunities, goodwill, anticipated savings, or data, except where such liability cannot lawfully be excluded.

Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited, including applicable liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or statutory rights that cannot be excluded.

Any agreed contractual liability limitations will be subject to applicable law and any specific terms contained in the relevant service agreement.

22. Cancellation and Termination

Either party may terminate an ongoing service agreement where permitted by the applicable contract.

We may suspend or terminate services where:

  • Invoices remain unpaid;
  • The Client materially breaches these Terms;
  • The Client requests unlawful or abusive activity;
  • Continuing the services would create a legal or security risk.

Upon termination, the Client remains responsible for payment for services properly provided and approved costs incurred up to the termination date.

23. Refunds

Refund eligibility will depend on the nature of the service, the project stage, the applicable agreement, and mandatory consumer rights.

Where work has already been completed or third-party costs have been incurred, those amounts may not be refundable except where required by law.

Nothing in these Terms & Conditions is intended to remove or restrict any statutory consumer rights that apply.

24. Acceptable Use

You must not use our website or services to:

  • Conduct unlawful activities;
  • Distribute malicious software;
  • Attempt unauthorised access to systems;
  • Infringe intellectual property rights;
  • Distribute fraudulent or misleading content;
  • Harass or abuse others;
  • Violate applicable laws or regulations.

We reserve the right to suspend services where reasonably necessary to address serious or unlawful misuse.

25. Force Majeure

Neither party will be responsible for failure or delay caused by circumstances reasonably beyond its control, including natural disasters, war, civil unrest, government action, significant infrastructure failures, widespread internet outages, cyber incidents, or other comparable events.

26. Changes to These Terms

We may update these Terms & Conditions from time to time.

The latest version will be published on our website with an updated effective date.

Where a material change affects an existing contractual relationship, we will provide notice where required by applicable law or contract.

27. Governing Law

These Terms & Conditions are governed by the laws applicable to the jurisdiction specified in the Client's service agreement.

For devLuk Technologies' UK operations, this will generally be the law of England and Wales, unless another jurisdiction is expressly agreed in writing.

Any disputes will be subject to the applicable courts and dispute-resolution procedures of that jurisdiction, subject to mandatory legal rights.
